Flamingo DAO

Origins in The LAO

Flamingo DAO is a collector DAO: its members pool ether, vote on which NFTs to buy, and own the collection together through a Delaware LLC. Its launch post of 5 October 2020 introduced it as "the first DAO incubated and formulated by The LAO community", conceived in conversations with members of The LAO, the venture DAO built by OpenLaw, which had already invested in the NFT marketplace SuperRare and in Aavegotchi. Tribute Labs, the name OpenLaw took in a 2022 rebrand, calls Flamingo its "first major experiment in collective art investing".

The launch post listed what the members had in mind: acquiring NFTs and fractionalizing some of them so they could be used on DeFi platforms, which members could vote to do work by work; commissioning work from NFT artists; investing in artists through their social tokens; curating acquired works for public shows in metaverses; and possibly investing in NFT infrastructure. It also described "curators", founders and artists from the NFT world who would sit alongside members in the Discord and advise on artists and trends. Flamingo opened publicly at noon EST on 8 October 2020, after members of The LAO, and The LAO itself, had a chance to contribute first.

How is Flamingo organized?

Flamingo is organized as a Delaware limited liability company. An operating agreement, supplemented by the Delaware Limited Liability Company Act, sets out members' rights and obligations. It limits each member's liability to what they contributed, plus their share of undistributed profits and any amounts already distributed to them, and it removes fiduciary duties between members as far as the law allows, in exchange for a commitment to good faith and fair dealing. Members amend it by a vote of at least 50% of units. OpenLaw's outside counsel drafted it.

The LLC is member-managed: there is no general partner choosing deals. A service provider, initially OpenLaw, handles the work a smart contract cannot, such as sending annual K-1 tax forms, maintaining the DApp, checking information on proposed purchases, and converting fiat sale proceeds into a digital asset for distribution. The fee schedule started at 2% a year and stepped down to about 0.75% from the fifth year, payable quarterly, plus 2% of the gross proceeds of any NFT sale it facilitates and 2% of any ownership interests it creates by fractionalizing an NFT. Members can terminate the provider at any time.

Members can also wind Flamingo down by majority vote, appointing someone to liquidate it under the operating agreement. Tag-along and drag-along provisions cover a sale of all its assets to another party, triggered only by a supermajority vote.

How do members join Flamingo?

Membership is limited to accredited investors under U.S. law and capped at 100 members. The documentation gives three reasons: compliance with U.S. securities law, since regulators had not decided whether the units are securities; stopping any one party from controlling a disproportionate share; and limiting look-through problems for members that are themselves funds. Joining required accreditation, anti-money-laundering, know-your-customer and sanctions checks.

At launch, ownership was sold as "Flamingo Units" in blocks of 100,000, each for 60 ETH. One block carried 1% of the voting rights and 1% of the proceeds, and a member could hold at most 9%. The LAO received 200,000 units for its part in designing Flamingo. The Moloch contracts needed at least seven days to admit a member: four to process the membership proposal and three during which existing members could rage-quit if they objected. A July 2021 profile put membership at about 40 at June 2021.

Entry later closed to the public. Aaron Wright, a founding member and founder of Tribute Labs, told CoinDesk in February 2022 that membership had begun first come, first served, and that prospective members now needed an invitation from an existing member or a route in through a sister DAO: The LAO, NeptuneDAO for DeFi, NoiseDAO for music or NeonDAO for the metaverse. CoinDesk reported that new members were then buying in at 3,000 ETH, about $8m at the time. Cointelegraph in July 2025 described "70+ members".

How do voting and rage-quit work?

Flamingo runs on v2 of the MolochDAO smart contracts, which OpenLaw helped develop with MolochDAO; ConsenSys Diligence, MolochDAO and MetaCartel audited them. The contracts collect contributions, record votes and delegations, fund purchases, distribute proceeds and process rage-quits. The same team later generalized this work into the Tribute DAO Framework, which its repository describes as an evolution of Moloch v2.

Votes are weighted by Flamingo Units and cast through the Flamingo DApp, on purchases, on the structure of Flamingo and on other strategic decisions. A member can delegate the right to vote on purchases to another Ethereum address, cancel or redirect that delegation at any time, and keep their right to proceeds either way.

No member has to take part in a purchase. Once one is authorized, any member can rage-quit, receiving their pro rata share of unallocated capital while their units are burned; the one restriction is that a proposal the member voted yes on must be processed first. Units are otherwise not transferable without a member vote, and members can vote to admit new members or to remove one.

Practice has moved away from a vote on every buy. Cointelegraph reported in July 2025 that any member can spend up to 5 ETH without prior approval, and that larger purchases go to an "emoji vote" in the Flamingo Discord.

What does the collection hold?

On 23 January 2021 Flamingo was among the buyers of CryptoPunk #2890, one of nine "alien" Punks, for 605 ETH, then worth over $750,000, as Cointelegraph reported. Fortune listed Flamingo in its 2021 NFTy 50, naming Alien #2890 as its favourite collectible and Snowfro's Chromie Squiggles on Art Blocks as its favourite artist.

In February 2022 CoinDesk reported that the portfolio held 215 CryptoPunks, 22 Bored Apes, 246 Chromie Squiggles, 371 Cryptoblots, five Autoglyphs and several one-of-one works, bought with 7,920 ETH contributed to the treasury. It put the collection's value at an estimated $1bn at that date, based on conversations with members and Forbes reporting.

By July 2025 the collection had grown past 10,000 NFTs, and Cointelegraph cited an estimate that the holdings of Flamingo's primary wallet were worth more than 23,300 ETH, about $61m at that date, a figure that excludes Alien #2890 and other private wallets. AI art was the area Flamingo had been most active in recently. The Flamingo website now describes the DAO as "a community of collectors, curators and artists engaging digital culture, onchain". For another collector DAO built around specific cultural works, see PleasrDAO.

How Caper approaches this

Flamingo caps membership at 100 accredited investors and weights each vote by the units a member bought, so the largest contributor carries the largest vote. A caper is open to anyone who buys its token, and its vote weight is earned by voting as well as by holding, so a big bag alone can't capture control. Like Flamingo's rage-quit, the exit needs nobody's approval: a member who has voted can leave at any time for their fair share of the treasury (leaving a caper).
